Scope and acceptance
These Terms and Conditions (“Terms”) set out the conditions for using the MV37 website and its account interfaces (the “Site”). “MV37,” “we,” “us,” and “our” refer to MV37 Corp., corporation number 1822946-5 with Corporations Canada, which operates the Site under the MV37 name. “You” means the person using the Site and, where applicable, the organization they are authorized to represent.
MV37 Corp. is based in Ontario, Canada.
By using the Site after being given notice of these Terms, you agree to them to the extent an agreement is formed under applicable law. If you do not agree, do not use the Site. You must be at least 18 and have reached the age of majority where you live. If you act for an organization, you must have authority to do so.
Our Privacy Policy explains how we handle personal information. Acceptance of these Terms does not replace any consent required under privacy law.
Customer services need a separate agreement
Website content, a contact submission, a demonstration, or an account does not by itself create a paid engagement, service commitment, confidentiality agreement, or authorization to test a system.
Assessments, repository processing, testing, repairs, and other customer services require a separate written agreement with MV37. That agreement should identify the contracting parties, authorized scope, fees if any, delivery and acceptance terms, confidentiality, data processing, ownership of deliverables, and each party’s responsibilities.
If a signed customer agreement conflicts with these Terms, that agreement controls for the services it covers. These Terms do not expand the agreed assessment scope, change negotiated fees or service levels, or replace a data processing agreement. A website liability limit does not override a liability provision in a signed customer agreement.
Accounts and access
Provide accurate account information, protect your sign-in credentials, and use only the access granted to you. Do not share an individual account, impersonate another person, or access another organization’s information without permission.
Creating an account does not guarantee workspace, repository, or assessment access. Access may depend on verification and approval by the relevant engagement owner. Tell us promptly if you suspect unauthorized access to your account.
We may restrict access when reasonably necessary to investigate abuse, address a security risk, enforce these Terms, or comply with law. Any suspension of contracted services remains subject to the applicable customer agreement.
Information you submit
You retain your rights in information and materials you provide. You grant MV37 a limited permission to receive, store, reproduce, and use them as reasonably necessary to respond to your request, operate the relevant Site feature, and perform any separately agreed services. This permission does not transfer ownership of your product, source code, or intellectual property.
You are responsible for having the rights and permissions necessary to submit materials, including any required notices or consents for personal information. Keep initial inquiries high-level and do not submit secrets, sensitive customer records, or information that requires a confidentiality agreement before disclosure.
A contact submission does not establish a non-disclosure agreement. If confidentiality terms are needed, agree them with us before disclosing the relevant information. This does not reduce our obligations under privacy law, the Privacy Policy, or an existing written agreement.
Acceptable use
Use the Site lawfully and for legitimate business purposes. You must not:
- Attempt unauthorized access, bypass permissions or security controls, or interfere with the availability or integrity of the Site.
- Upload malicious code to ordinary website forms, send spam, submit deceptive information, or use the Site to facilitate unlawful activity.
- Extract private data, harvest personal information, misuse access tokens, or probe systems outside an expressly authorized scope.
- Infringe intellectual property, privacy, confidentiality, or other rights, or misrepresent an affiliation with MV37.
- Use automation in a way that creates an unreasonable load, evades restrictions, or accesses non-public content. Ordinary search indexing of public pages is not prohibited by this clause.
Where a separately signed testing agreement expressly permits an activity in a designated environment, that agreement controls for that activity and environment only.
MV37 materials and intellectual property
MV37 and its licensors retain rights in the Site, branding, illustrations, animations, software, documentation, and other materials we provide, except for customer materials and items covered by a different licence.
You may view and use public Site materials to evaluate MV37 and for your organization’s internal business purposes. You may not sell, republish, distribute, or create commercial derivatives of those materials without permission, except where a licence or applicable law allows it. Do not remove ownership notices or use our marks in a way that implies an endorsement.
Rights in customer-specific findings, code changes, and other deliverables are determined by the relevant customer agreement. Third-party and open-source materials remain subject to their respective licences.
Findings, AI, and demonstrations
Security findings, generated code, suggested repairs, and other automated or AI-assisted outputs can be incomplete or incorrect. They may contain false positives, omit vulnerabilities, or fail to account for conditions outside the tested environment.
Results are limited by the agreed scope, inputs, environment, software version, and time of the work. A successful test or replay is not a guarantee that a system is secure, that every weakness has been found, or that a repair will work in every environment.
You must have appropriately qualified people review and test outputs before relying on them or making production changes. Website content and outputs do not by themselves provide legal advice, a compliance certification, an insurance assurance, or a guarantee against a breach.
Animations, sample reports, and demonstration scenarios illustrate the process. They are not evidence that a particular customer assessment has occurred. Preview features, roadmaps, and future plans are not delivery commitments unless included in a signed agreement.
Third-party services
The Site may connect to or link to providers such as authentication, hosting, and repository services. Your use of a third-party service may also be subject to that provider’s terms. A link does not by itself mean we endorse the external content.
Third-party services can change or become unavailable. We do not control services operated independently of MV37, but remain responsible for obligations that applicable law or our customer agreements place on us.
Website availability and warranties
To the maximum extent permitted by applicable law, the Site and its free informational content are provided “as is” and “as available.” MV37 disclaims warranties and conditions, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, title, and non-infringement, to the extent those disclaimers are lawful.
We do not promise uninterrupted availability, error-free content, or that every defect will be corrected. We may update, limit, or discontinue website features. Any warranties, support, availability commitments, or remedies for paid services are set out in the applicable customer agreement.
Nothing in these Terms excludes a warranty, condition, right, or remedy that cannot lawfully be excluded.
Limits on website liability
To the maximum extent permitted by applicable law, MV37 and its personnel are not liable for indirect, incidental, special, consequential, exemplary, or punitive loss arising from use of the Site, including lost profits, revenue, business opportunities, or goodwill.
For claims arising solely from the Site and its free informational content, MV37’s total aggregate liability is limited to CAD $100, to the extent that limit is lawful. This limit does not apply to services governed by a separate signed customer agreement.
These exclusions and limits do not apply to fraud, fraudulent misrepresentation, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that applicable law does not permit us to exclude or limit. They do not restrict privacy rights, regulatory powers, or other mandatory statutory rights.
Responsibility for third-party claims
If you use the Site for an organization, that organization agrees, to the extent permitted by law, to indemnify MV37 against third-party claims and reasonable, documented costs arising from its unlawful use of the Site, materials it submits in violation of another person’s rights, or its lack of authority to provide the systems or information it submits.
This obligation applies only to the extent the claim results from that conduct and does not cover MV37’s own breach, negligence, or misconduct. MV37 must provide prompt notice where reasonably possible and reasonable cooperation. No settlement may impose an admission, payment, or other obligation on the other party without its consent, which must not be unreasonably withheld.
Changes, disputes, and mandatory rights
We may revise these Terms prospectively by posting an updated version and revision date. We will provide additional notice or obtain renewed acceptance where required by law. A website update does not unilaterally change a signed customer agreement or the terms applicable to an already accrued claim.
Subject to any mandatory law that applies to you, these Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there. The courts of Ontario have non-exclusive jurisdiction over disputes arising from these Terms or use of the Site. A separate signed customer agreement may specify different governing law and venue for its services.
You may contact us to try to resolve a concern. Doing so is not a condition for exercising a legal right, making a regulatory complaint, or seeking urgent relief. These website Terms do not impose mandatory arbitration or waive rights that cannot lawfully be waived.
If a provision is unenforceable, it applies only to the extent permitted by law, and the remaining provisions continue to apply where possible. A failure to enforce a provision is not a waiver. Provisions intended by their nature to continue, including ownership and lawful liability limitations, survive the end of your Site use.
